Terms and Conditions
Eligibility
Purchases are permitted exclusively to business entities, research institutions, and individuals acting solely in a professional or commercial capacity. Consumer transactions are expressly excluded.
By placing an order, the buyer confirms that they are not acting as a private consumer and that the purchase is made solely for professional or research purposes.
Product Use
All products are sold strictly for laboratory research and development purposes only.
Human or animal consumption, diagnostic use, medical use, therapeutic use, or clinical application of any kind is strictly prohibited.
Payments
All orders require full prepayment. No order shall be processed, prepared, or shipped until payment has been received in full and irrevocably confirmed. Accepted payment methods include bank transfer and cryptocurrency.
If payment is not received within seven (7) calendar days from the date of order placement, Neopeps LLC reserves the right to automatically cancel the order without further notice.
If payment remains outstanding after a payment reminder has been issued, and is not received within five (5) calendar days thereafter, the order shall be considered in default and may be canceled at the sole discretion of Neopeps LLC.
In the event of payment default, Neopeps LLC reserves the right to suspend or terminate the buyer’s account, refuse future transactions, claim statutory interest on late payments where applicable, and charge reasonable administrative fees related to payment recovery.
Neopeps LLC further reserves the right to assign outstanding claims to a collection agency or pursue legal enforcement. All administrative, legal, and third-party recovery costs arising from payment default shall be borne by the buyer to the extent permitted by applicable law.
Any bank transfer fees, intermediary bank charges, currency conversion costs, or blockchain transaction fees shall be borne exclusively by the buyer. An order shall not be considered fully paid until the exact invoiced amount has been received.
All payments are final. Due to the nature of the products, refunds, cancellations, chargebacks, or payment reversals are excluded once an order has been processed. In the event of a chargeback attempt, fraud claim, or unauthorized payment dispute, Neopeps LLC reserves the right to suspend the buyer’s account, refuse future transactions, and pursue recovery of funds and associated costs.
Title to the products shall remain with Neopeps LLC until full and irrevocable payment has been received.
Shipping
Order fulfillment and shipping are handled via our logistics partner located in the EU. Delivery times are estimates only and not guaranteed.
Risk of loss and title pass to the buyer upon handover of the shipment to the carrier.
Supply Chain and Import Risk
Products may be sourced from third-party suppliers outside the European Union and the United States.
Neopeps LLC does not guarantee uninterrupted delivery and shall not be liable for delays, losses, seizures, confiscations, or destruction of products occurring during international transport, customs clearance, or import procedures.
Risk of loss remains with the buyer once the products are handed over to the carrier, including during cross-border shipment and customs processing.
In the event that a shipment is delayed, lost, or seized by customs or other authorities, no refund, replacement, or compensation shall be provided.
Liability
Neopeps LLC shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the handling, storage, use, misuse, or unlawful application of any product.
The buyer assumes full responsibility for compliance with all applicable laws and regulations.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, State of Wyoming, without regard to conflict of law principles.
Exclusive jurisdiction and venue for any dispute arising from these Terms shall be the competent courts located in the State of Wyoming.
Nothing in these Terms shall limit mandatory rights under applicable data protection laws.
