2. Scope
These Terms and Conditions apply exclusively to business customers, research institutions, companies, and individuals acting solely in a professional, commercial, or research-related capacity. Consumer transactions are expressly excluded.
By placing an order, the buyer confirms that they are not acting as a private consumer and that the purchase is made solely for professional, commercial, laboratory, or research purposes.
3. B2B-Only Sales
Neopeps LLC sells exclusively to business customers and professional buyers. The buyer confirms that all information provided during checkout is accurate, complete, and not misleading.
If a buyer falsely represents themselves as a business customer while acting as a private consumer, the buyer shall be responsible for any consequences, costs, claims, or damages arising from such misrepresentation to the extent permitted by applicable law.
Neopeps LLC reserves the right to request additional information to verify the buyer’s business or professional status and may refuse, cancel, or suspend any order if there are reasonable doubts regarding the buyer’s eligibility.
4. Product Use
All products are sold strictly for laboratory research and development purposes only. Products are not intended for human consumption, animal consumption, diagnostic use, medical use, therapeutic use, clinical application, veterinary use, or any form of administration to humans or animals.
The buyer agrees not to use, supply, market, promote, or resell the products for any prohibited use. The buyer is solely responsible for ensuring that the purchase, possession, storage, handling, use, and disposal of the products comply with all applicable laws and regulations in their jurisdiction.
5. Product Information and Certificates of Analysis
Where available, Neopeps LLC may provide product information, batch details, and Certificates of Analysis. Product information, descriptions, purity statements, and certificates are provided for informational and quality documentation purposes only and do not constitute medical, pharmaceutical, therapeutic, or clinical claims.
Minor variations in product appearance, packaging, labeling, or batch-specific characteristics may occur, provided that the product substantially corresponds to the ordered item and applicable specifications.
6. Order Placement and Contract Formation
Orders may be placed directly through the online shop. By placing an order, the buyer submits a binding offer to purchase the selected products under these Terms and Conditions.
Neopeps LLC may accept the order by confirming the order, processing payment, preparing the order for fulfillment, or dispatching the products.
Neopeps LLC reserves the right to refuse, cancel, or limit any order at its sole discretion, including but not limited to cases of suspected consumer purchases, unlawful use, payment issues, product unavailability, compliance concerns, or inaccurate order information.
7. Prices and Payment
All orders require full prepayment. Accepted payment methods are bank transfer and cryptocurrency, unless otherwise agreed in writing. An order will not be processed, prepared, or shipped until payment has been received in full.
Any bank transfer fees, intermediary bank charges, currency conversion costs, or blockchain transaction fees shall be borne exclusively by the buyer. An order shall only be considered fully paid once the exact invoiced amount has been received by Neopeps LLC.
If payment is not received within seven (7) calendar days from the date of order placement, Neopeps LLC reserves the right to cancel the order without further notice.
8. Cryptocurrency Payments
If cryptocurrency payment is accepted, the buyer is responsible for ensuring that the correct amount is sent to the correct wallet address and via the correct blockchain network.
Neopeps LLC is not responsible for losses caused by incorrect wallet addresses, incorrect blockchain networks, insufficient transaction fees, failed transactions, delayed blockchain confirmations, or irreversible cryptocurrency transfers caused by buyer error.
An order paid by cryptocurrency shall only be considered paid once the transaction has received sufficient blockchain confirmation and the full invoiced amount has been received.
9. Cancellations Before Shipping
The buyer may request cancellation of an order before the order has been processed, packed, or shipped. Cancellation requests must be sent to info@neopeps.net.
Neopeps LLC reserves the right to reject cancellation requests if the order has already been processed, packed, handed over to the fulfillment partner, or dispatched.
If a cancellation request is accepted, Neopeps LLC may refund the payment using the original payment method where possible, minus any non-refundable transaction fees, bank fees, blockchain fees, currency conversion costs, or administrative costs already incurred.
10. Final Sale After Processing
Due to the nature of the products, all sales are final once an order has been processed, packed, or shipped, unless otherwise required by applicable law or expressly agreed by Neopeps LLC.
Returns, refunds, cancellations, or payment reversals are not accepted for research peptides or products that require controlled, specific, or verifiable storage conditions.
11. Returns
Returns are generally not accepted for products requiring specific storage conditions, including research peptides.
Bacteriostatic water may be eligible for return only if all of the following conditions are met:
- The product is unopened
- The product is unused
- The original seal is fully intact
- The packaging is undamaged
- The product has been stored properly
- The return has been approved in writing by Neopeps LLC before shipment back to us
Unauthorized returns will not be accepted. Return shipping costs and any related fees shall be borne by the buyer unless otherwise agreed in writing.
12. Shipping and Fulfillment
Orders are fulfilled through our logistics partner located in the European Union. Fulfillment is currently handled from Poland. Shipping is carried out via DHL or other carriers selected by Neopeps LLC or its logistics partner.
Shipping is available only within the European Union. Tracking information will be provided where available. Delivery times are estimates only and are not guaranteed.
13. Delivery Risk
Risk of loss or damage passes to the buyer when the shipment is handed over to the carrier, unless otherwise required by applicable mandatory law.
However, if a shipment is confirmed as lost in transit by the carrier, Neopeps LLC may, at its discretion and after reasonable investigation, provide a replacement shipment.
Neopeps LLC is not responsible for delays caused by the carrier, force majeure events, incorrect shipping information provided by the buyer, failed delivery attempts, refusal of delivery, or circumstances outside Neopeps LLC’s reasonable control.
14. Incorrect or Incomplete Shipping Information
The buyer is responsible for providing complete and accurate shipping information. If delivery fails due to incorrect, incomplete, or outdated shipping information provided by the buyer, the buyer shall bear any additional shipping costs, return costs, storage fees, or reshipment costs.
Neopeps LLC is not obligated to refund or replace orders that cannot be delivered due to buyer-provided incorrect or incomplete information.
15. Damaged Goods
If products arrive damaged, the buyer must notify Neopeps LLC immediately. Damage claims must be submitted on the day the package is opened. The buyer must provide clear photo or video evidence showing:
- The outer shipping package
- The shipping label
- The inner packaging
- The damaged product
- Any visible leakage, breakage, or other defect
If the damage claim is approved, Neopeps LLC will provide a replacement product or another reasonable solution at its discretion.
16. Incorrect Goods
If the buyer receives an incorrect product, the buyer must notify Neopeps LLC on the day the package is opened. The buyer must provide clear photo or video evidence of the received product, packaging, label, and order details.
If the claim is approved, Neopeps LLC will send the correct product or provide another reasonable solution at its discretion.
17. Inspection Obligation
The buyer is responsible for inspecting the shipment without undue delay after delivery and especially upon opening the package. Any visible damage, incorrect items, missing items, or other issues must be reported immediately and no later than the day the package is opened.
Claims submitted without sufficient evidence or after unreasonable delay may be rejected.
18. Customs, Authorities, and Compliance
Shipping is offered only within the European Union. Although no regular customs clearance is generally expected for EU shipments, the buyer remains responsible for ensuring that the purchase, possession, import, storage, handling, and use of the products is lawful in their country.
If a shipment is delayed, held, inspected, restricted, seized, or confiscated by authorities, Neopeps LLC will review the case individually. Where the issue is not caused by buyer misconduct, Neopeps LLC may, at its discretion, provide one replacement shipment or another reasonable solution.
Neopeps LLC shall not be liable for authority actions caused by the buyer’s failure to comply with applicable laws, regulations, documentation requirements, or these Terms.
19. Buyer Responsibilities
The buyer is solely responsible for:
- Verifying that the products may be lawfully purchased, possessed, stored, and used in their jurisdiction
- Ensuring that the products are used only for lawful laboratory research and development purposes
- Ensuring that the products are not used for human or animal consumption
- Ensuring proper storage and handling after delivery
- Ensuring that only qualified personnel handle the products
- Complying with all applicable safety, laboratory, import, tax, and regulatory obligations
- Preventing unauthorized access, misuse, resale, or diversion of the products
20. Storage and Handling
The buyer is responsible for storing and handling all products in accordance with the applicable product information, label instructions, and standard laboratory practices.
Neopeps LLC is not liable for product degradation, contamination, loss of quality, or reduced performance caused by improper storage, improper handling, unauthorized opening, temperature exposure, contamination, misuse, or failure to follow applicable handling instructions after delivery.
21. Prohibition of Misuse
The buyer agrees not to use the products for:
- Human or animal consumption
- Injection, medical treatment, or therapeutic use
- Diagnostic use, clinical application, or veterinary use
- Cosmetic application
- Food, supplement, or drug manufacturing
- Any unlawful purpose
Any misuse of the products is strictly prohibited and is the sole responsibility of the buyer.
22. Resale
Resale of products is only permitted with prior written approval from Neopeps LLC. Without prior written approval, the buyer may not resell, redistribute, relabel, repackage, market, or supply the products to third parties. Resale to private consumers is strictly prohibited.
If resale is approved, the buyer remains fully responsible for compliance with all applicable laws, regulations, labeling requirements, advertising restrictions, storage obligations, and customer eligibility requirements.
23. No Medical Advice
Nothing on the website, in product descriptions, certificates, emails, messages, or other communications from Neopeps LLC constitutes medical advice, pharmaceutical advice, therapeutic guidance, diagnostic information, or a recommendation for human or animal use. The products are sold strictly as research materials.
24. No Warranties Beyond Product Specification
Neopeps LLC warrants only that products substantially correspond to the ordered item and available batch-specific documentation at the time of dispatch.
To the fullest extent permitted by applicable law, all other warranties, representations, or guarantees are excluded, whether express or implied, including but not limited to fitness for a particular purpose, suitability for a specific research outcome, merchantability, or regulatory suitability in the buyer’s jurisdiction.
25. Limitation of Liability
To the fullest extent permitted by applicable law, Neopeps LLC shall not be liable for indirect, incidental, consequential, punitive, special, or economic damages, including loss of profits, loss of business, loss of data, loss of research results, reputational damage, or regulatory consequences.
Neopeps LLC shall not be liable for damages arising from the buyer’s misuse, unlawful use, improper handling, improper storage, unauthorized resale, relabeling, repackaging, or failure to comply with applicable laws and regulations.
Nothing in these Terms shall exclude or limit liability for intentional misconduct, gross negligence, injury to life, body, or health, fraud, or any liability that cannot be excluded or limited under applicable mandatory law.
26. Indemnification
The buyer agrees to indemnify and hold harmless Neopeps LLC, its owners, officers, employees, contractors, fulfillment partners, and service providers from and against any claims, damages, losses, liabilities, penalties, costs, and expenses arising from:
- The buyer’s breach of these Terms
- Misuse or unlawful use of the products
- Resale or redistribution without approval
- False representation as a business or professional buyer
- Violation of applicable laws or regulations
- Claims by third parties resulting from the buyer’s handling, storage, resale, or use of the products
This indemnification applies to the extent permitted by applicable law.
27. Force Majeure
Neopeps LLC shall not be liable for delays, non-performance, or partial performance caused by events beyond its reasonable control, including but not limited to carrier delays, strikes, logistics disruptions, natural disasters, war, terrorism, government actions, regulatory restrictions, customs or authority actions, cyberattacks, supplier failures, pandemics, power outages, or other force majeure events.
28. Chargebacks and Payment Disputes
All payment disputes must first be submitted directly to Neopeps LLC at info@neopeps.net.
If the buyer initiates a chargeback, reversal, fraud claim, or unauthorized payment dispute without first contacting Neopeps LLC and without valid legal grounds, Neopeps LLC reserves the right to suspend the buyer’s account, refuse future transactions, and pursue recovery of the disputed amount and related costs to the extent permitted by applicable law.
29. Taxes and Fees
The buyer is responsible for all applicable taxes, duties, charges, fees, and costs related to the purchase, receipt, possession, and use of the products, unless otherwise expressly stated.
30. Account Suspension and Refusal of Service
Neopeps LLC reserves the right to suspend or terminate a buyer’s account, refuse orders, cancel orders, or block future purchases if the buyer violates these Terms, provides false or misleading information, is suspected of acting as a private consumer, initiates improper payment disputes, engages in unauthorized resale, or if compliance, legal, payment, or security concerns arise.
31. Privacy and Data Protection
Personal data is processed in accordance with our Privacy Policy, available on our website. Nothing in these Terms shall limit any mandatory rights under applicable data protection laws.
32. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, State of Wyoming, without regard to conflict of law principles.
33. Jurisdiction
Exclusive jurisdiction and venue for any dispute arising from or in connection with these Terms and Conditions shall be the competent courts located in the State of Wyoming, United States, unless mandatory applicable law provides otherwise.
34. Mandatory Law
Nothing in these Terms shall limit, exclude, or restrict any rights or liabilities that cannot be limited, excluded, or restricted under applicable mandatory law.
35. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the economic and legal intent of the original provision.
36. Changes to These Terms
Neopeps LLC reserves the right to update or modify these Terms and Conditions at any time. The version available on the website at the time of order placement shall apply to the respective order.
